About Thomas
Thomas is a corporate law expert and academic in Luxembourg, Of Counsel at Berna & Associés, Associate Professor at Erasmus University Rotterdam. He's spent over a decade on cross-border transactions, restructurings, and financial litigation. He has a PhD from Maastricht University, did visiting research stints at Harvard Law School, Oxford, and Paris 1 Panthéon-Sorbonne. At Erasmus, he leads a research project on cross-border corporate mobility in the EU.
What he's doing here
Shareholder agreements, SPAs, articles of incorporation, stock option plans. These documents determine how a company is owned and governed. So yes, getting them right matters.
Thomas wrote a Risk Guide for each document type. Each one captures what he actually looks for during a due diligence: which provisions matter, what counts as a red flag, how the transaction context changes the analysis.
Our engineers then build those guides into the product. So when Jurimesh reviews corporate documents across a data room, it's running the same analysis Thomas would.
