Before Jurimesh

By the time external lawyers are engaged, the resources are already committed. The deal team isn't running diligence anymore, they're hunting for conditions precedent to justify a deal that's already in motion.

"You're just looking for conditions precedent because you've allocated already so many resources to making this deal happen," the team explains. "You damn well need to make sure that it happens."

Five full DDs per CEO-in-residence just to qualify a deal. Document volume doesn't shrink with deal size, one 700K-EBITDA target had 4,000 customer agreements to screen. Every red flag has to route through external counsel, and pricing negotiations stall waiting on someone else's calendar.

That's not diligence. That's confirmation under deadline.

With Jurimesh

Once the LOI is signed, WAD sends the seller an information request list and gives them direct access to Jurimesh to upload documents. No lawyer-to-lawyer relay. WAD sees documents arrive in real time and starts screening as the data room fills.

Jurimesh reads the data room and surfaces risks across employment, commercial, financing and corporate documents, categorized and prioritized so the CEO-in-residence, not a junior associate three weeks into external review, sees the risk while pricing is still being negotiated.

"Jurimesh flagged housing allowances paid to employees with no contractual basis," the team explains. The risk wasn't theoretical, the social security control came later, but by then WAD already had the covenants in place to handle it.

In another deal, a CEO found change-of-control clauses that differed across every supplier contract. Under traditional DD timing, that becomes a fire drill days before closing. Here, it became a negotiating input.
